Corporate legal and tax consultant

Company Description

Our Client, is a Dutch hospitality group specialized in hotel management that operates five-star Luxury Hotels & Resorts.

For its office in Amsterdam, they are looking for a Corporate legal and tax consultant.

Key Responsibilities

• Corporate documents preparation: draft, review, and edit corporate documents, including board resolutions and minutes, minutes of other meetings, incorporation of documents and amendments.
• Corporate compliance: maintain corporate records and ensure compliance with regulatory filings, deposits and registrations to the Secretary of State, Commercial Registry, Dutch Central Bank, Central Bureau of Statistics, and the Chamber of Commerce.
• Tax compliance: coordination with the accounting department to obtain the necessary information to assist in the preparation of VAT and Corporate Income Tax returns.
• Transaction support: assist attorneys in mergers and acquisitions, due diligence, closing checklists, assistance with certificates and legalizations with the notary, management of contracts with third party suppliers as well as intragroup.
• Regulatory banking documentation management, preparation of compliance documentation related to ultimate beneficial owners.
• Data management and personal data protection (online check in documentation).

Requirements

• Experience: 3-4 years of experience as a legal and tax consultant, paralegal, or legal secretary, preferably with a focus on Dutch corporate or commercial law.
• Education: bachelor’s degree.
• Professional command of English and Spanish languages. Dutch language is highly appreciated.
• Skills: excellent communication (written and verbal), strong organizational skills, and proficiency in legal document management.
• Detail-Oriented: high level of accuracy in drafting and proofreading documents.

The corporate legal and tax consultant will be responsible for elaborating the board resolutions and minute meetings of the companies of the group. The selected candidate will work in a dynamic environment together with colleagues from different countries and group companies from whom legal, financial, and operational input will be received at the headquarters in Amsterdam. The selected candidate will coordinate and organize Board meetings, legal documents, and assist in the preparation of tax returns to comply with filing requirements at the level of the Chamber of Commerce, Secretary of State and Commercial Registry as well as the Dutch Tax Authorities. The selected candidate will also be involved in strategic projects of the group in which corporate legal input will be requested.
